In theory, Ex Works (EXW) and Delivered Duty Paid (DDP) represent the two extremes of international trade terms. In practice in Vietnam, attempting to execute contracts on true EXW or direct DDP triggers severe customs roadblocks, tax audit penalties, and certificate invalidation.

Under Incoterms 2020 EXW, the foreign buyer is technically responsible for export customs clearance in the country of origin. In Vietnam, this is legally unworkable for three distinct reasons:

Under Vietnam Customs Law, export declarations must be filed electronically through the VNACCS/VCIS portal. 2. 0% VAT Export Refund Breakdown for Manufacturers

In Vietnam, export goods are entitled to a 0% Value Added Tax (VAT) rate and subsequent input VAT refunds. To claim this, the General Department of Taxation requires: (1) an electronic export customs declaration showing cleared status (Thông quan), (2) a formal commercial contract, and (3) foreign currency payment received via official bank transfer (Swift MT103). If an overseas buyer takes cargo on true EXW terms and arranges an informal local pickup, the manufacturer loses its 0% export VAT status and faces retroactive tax penalties.

3. Phytosanitary & Certificate of Origin Issuance

Official phytosanitary certificates (issued by the Plant Protection Department Region II) and preferential Certificates of Origin (Form EUR.1, Form CPTPP, Form E) can only be applied for by registered Vietnamese commercial exporters. A foreign forwarder picking up cargo under pure EXW cannot issue these official origin certificates.

Destination Failure

Trap #2: Why Direct DDP is Impractical for Origin Producers

Under DDP, the seller must act as the legal Importer of Record in the destination country, clear destination customs, pay foreign tariffs, and absorb local VAT/GST liabilities.

1. Importer of Record (IOR) & Regulatory Licensing

To clear import customs under DDP in the United States (CBP), European Union, or Japan, the declarant must have an active Importer of Record registration, customs surety bonds, and destination tax IDs (e.g. EU EORI number and local VAT registration). Direct Vietnamese producers do not maintain corporate tax registrations in foreign jurisdictions.

2. Destination Tariff & Anti-Dumping Liability Risk

Destination import tariffs, variable VAT/GST rates, and potential anti-dumping or countervailing duties are unpredictable. Forcing an origin exporter into DDP creates massive pricing risk that is typically marked up heavily to buffer against customs reclassification at destination.

3. Destination Demurrage & Storage Exposure

If destination customs places a hold on the container or if the buyer’s delivery warehouse is congested, destination container detention and demurrage charges accumulate at rates exceeding $150–$300/day. Under DDP, the carrier bills these to the shipper.

1. Price Optics

The "Naked Price" Benchmark

Exporters use "EXW" as shorthand for “raw product price at the mill door, excluding inland trucking to Cát Lái and port THC fees” to make unit rates ($/MT or $/kg) appear as low as possible.

2. De Facto FCA

Seller Files Customs Anyway

In 90% of executed "EXW" contracts, the Vietnamese exporter still submits the VNACCS electronic declaration under their tax token and applies for the Phyto certificate. It is legally FCA, but loosely labeled EXW.

3. Entrustment / On-the-spot

Broker or Domestic Delivery

The buyer's forwarder acts as customs broker using the factory’s token, or cargo is delivered to a bonded zone/EPE inside Vietnam under Xuất nhập khẩu tại chỗ (Decree 08/2015/NĐ-CP).

  • Unbundled Document Surcharges: An exporter who quoted an ultra-low EXW rate may later demand an extra $100–$200 for the Certificate of Origin (Form EUR.1/Form B) and Phytosanitary Certificate, claiming “EXW only includes the physical bags.”
  • Factory Loading Fee Disputes: Under strict ICC EXW, the seller is not required to load the truck. Mill workers loading 350 bags of coffee (21 MT) into your container chassis may invoice a separate labor/loading fee (tiền bốc xếp).
  • VAT Invoice Stand-offs: If the exporter is not the declarant on record, they cannot issue a 0% export VAT invoice and may demand you deposit domestic VAT (+5% to +10%) until you supply third-party clearance proofs.

Step 1 (Clarify before signing): Ask the seller:
“Does your price include VNACCS electronic export clearance, Phytosanitary certificate, and factory truck loading?”

Step 2 (Contract as FCA): On the final purchase contract, write:
